1. Agreement
These Terms of Use ("Terms") are between you and Toward Technology Private Limited for Waktaa operated under the Waktaa brand. By accessing this website or using the Waktaa service, you agree to these Terms, our Privacy Policy, and—for Customer Personal Data processed in the Waktaa service—our Data Processing Agreement.
If you do not agree, do not use the website or service. If you use Waktaa on behalf of a business, you represent that you have authority to bind that business.
2. Website vs Waktaa service
Marketing website (this site) provides product information, pricing summaries, and contact options.
Waktaa service (tenant dashboard and APIs) is where you connect channels, read and send buyer messages, and trigger order notifications. Additional rules apply there, including:
- Acceptance of the Acceptable Use Policy (AUP) before connecting channels (recorded per user account)
If there is a conflict between marketing copy and in-product policy gates, the in-product acceptance and technical enforcement controls prevail for connected channels.
3. What Waktaa provides
Waktaa is messaging software that helps social sellers:
- Aggregate buyer conversations from supported channels into one inbox
- Send order-status notifications through official WhatsApp Cloud templates where configured
- Manage channel connection, team access, and USD billing through integrated flows
- On Assist and Team plans, optional AI Assist that can send automated replies from a monthly pool (not a human agent; subject to limits and safety controls described below)
We do not guarantee message delivery, platform approval of templates, or that any channel will remain available. Platforms (Meta, Shopify, and the networks that deliver your messages) may change APIs, suspend numbers, or reject content without notice.
3.1 Infrastructure and data location
The service runs on cloud infrastructure that may be located inside or outside Nepal, as described in our Privacy Policy Section 8. By using Waktaa, you acknowledge that account and buyer data may be stored and processed in those locations for the purposes in the Privacy Policy.
3.2 AI Assist and confirmation queue
AI Assist is automated software, not a human agent. By enabling it, you instruct us to process connected message data for inbox assistance as described in the Privacy Policy Section 4.3. Depending on settings, some AI drafts enter a confirmation queue and require your approval before sending. You remain responsible for messages sent from your accounts, including AI-initiated sends you authorize.
3.3 Instagram comments and catalog
When you connect Instagram with comment permissions, public comments on your posts may appear in the unified inbox. Product catalog data you enter is used for order workflows and optional AI context as described in the Privacy Policy.
4. Starter and paid plans
When you register a new user account and create an organization in the dashboard from this website, that organization starts on Starter ($0) unless we state otherwise at signup. Starter is a free plan and is not a trial. Joining an existing organization as a member does not create a new Starter subscription for that organization.
Assist and Team are paid plans you start from Billing. Shopify App Store installs follow the plan you pick in Shopify. Starter on Shopify is the same free plan, billed through Shopify.
Pricing on this site is indicative; binding fees are shown in the dashboard billing module at checkout.
5. WhatsApp: Official Cloud
- Official WhatsApp Cloud is the only WhatsApp path Waktaa offers. Use it for inbox replies and for automated order notifications (for example "order packed," shipping updates).
- Unofficial WhatsApp Web–style linking is not available. Do not connect a personal WhatsApp number through third-party QR tools and expect Waktaa to operate that session.
You must comply with Meta's WhatsApp Business Policy and related Meta terms for every WhatsApp use.
5.1 Meta, Shopify, and store chat
Waktaa integrates with APIs operated by Meta (WhatsApp Cloud, Instagram, Messenger) and Shopify. Store chat is a Waktaa widget on your Shopify theme; shopper messages arrive in your Waktaa inbox. Your use of those channels through Waktaa requires you to comply at all times with their respective terms and policies, including Meta Platform Terms and the Shopify API License and Terms of Use, as updated from time to time.
When you connect Shopify, install Waktaa only from the Shopify App Store (we do not accept a shop domain typed into the Waktaa dashboard). Each organization may connect at most one Shopify store at a time. We sync the product catalog you authorize and can enable store chat. You choose whether shoppers are asked for a name, an email, both, or neither before the first message. You are responsible for telling shoppers how that information is used.
We do not operate Meta or Shopify services and cannot guarantee API availability, template approval, account status, or message delivery. Platforms may change APIs, impose limits, restrict accounts, or revoke access without notice.
We are not liable for lost messages, revenue, account restrictions, or business interruption caused by platform actions, outages, or policy enforcement—except to the extent liability cannot be excluded under applicable Nepali law and is directly attributable to our gross negligence.
6. Acceptable use
You agree not to use Waktaa to:
- Send spam, cold outreach, purchased lists, or unsolicited bulk messages
- Phish, impersonate others, or distribute illegal or harmful content
- Circumvent platform suspensions, rate limits, or create duplicate organizations after we terminate you for abuse
- Share one operator login among multiple people or otherwise exceed your plan's named seat limit
- Send order or delivery notifications except through official WhatsApp Cloud templates
- Store regulated sensitive data in chat bodies without lawful basis and safeguards
You may use Waktaa to reply to buyers who contacted you or opted in, and to send truthful transactional updates through approved Cloud templates. Full AUP text is presented in the dashboard before connect.
We may throttle, pause outbound messaging, or suspend accounts immediately when we detect abuse or receive a platform notice—to protect your number and other customers on shared infrastructure.
7. Your responsibilities
- Maintain accurate account information and secure credentials
- As data controller, ensure your use of buyer and shopper data complies with all laws that apply to your business and your buyers—not only Nepali law. Where those laws apply to you, that includes the Privacy Act 2075 (2018), US state privacy laws (for example CCPA/CPRA and similar state acts), the US Telephone Consumer Protection Act (TCPA) for calls and texts, the US CAN-SPAM Act for commercial email you send, Shopify's terms and acceptable use for Shopify-connected stores, and Meta / WhatsApp Business policies for connected channels
- Ensure every message complies with applicable law and each platform's rules
- Obtain and document a lawful basis before messaging buyers (for example they contacted you, placed an order, or opted in)
- Honour opt-out / STOP requests promptly for marketing or non-essential messages
- Use only buyer data you are entitled to process
- Do not share dashboard access or export buyer conversations in ways that violate law or platform rules
Section 15 (Nepal governing law and Kathmandu courts) governs the contract between you and Toward Technology Private Limited. It does not reduce your duty to obey the consumer, privacy, and messaging laws that apply to your own shop.
8. Subscription plans and payment
Paid plans are billed in United States dollars (USD). You subscribe from Billing in the dashboard. Toward Technology Private Limited operates the Waktaa service. Who you pay (merchant of record) depends on the rail:
- Website cards — Paddle is the merchant of record. You also accept Paddle's Buyer Terms. Paddle handles checkout, tax collection, invoicing, and refunds on that rail.
- Shopify App Store — Shopify (or its billing) collects payment under that store's terms.
- iOS app — Apple collects payment under Apple's terms.
- Android app — the Play Store build does not sell subscriptions. Website cards still go through Paddle.
Public pricing on this website is indicative; binding fees, seat counts, and usage limits are shown on the Billing page before you pay.
8.1 Plan tiers (overview)
- Starter — free plan for one seat and one connected channel (any supported channel), with capped AI and manual replies
- Assist — AI Assist and a monthly pool of AI-initiated outbound messages; manual replies do not count toward that pool
- Team — more channels, operator seats, and a larger AI Assist pool
- Enterprise — custom seats, volumes, and support by direct agreement (not self-serve checkout on this site)
8.2 Connected channels
Each active channel connection uses one slot (for example WhatsApp Cloud, Instagram, Messenger, a Shopify store, or store chat). Your plan sets the maximum slots; disconnect a channel before adding another when you are at the limit.
Each channel account (Instagram, Messenger page, WhatsApp number, or Shopify store) is registered to one organization at a time. An organization may connect at most one Shopify store; disconnect the existing store before connecting a different one. Disconnecting a channel revokes API tokens but does not release the registration. To transfer a channel to a different organization, contact hello@waktaa.com. We may request identity documents or platform admin evidence to verify ownership before processing a transfer. A transferred channel does not carry or reset any trial entitlement that was consumed on the source organization.
8.3 Named operator seats
Each seat is one authorized sign-in (Google, or Apple on iOS) invited to your organization. You may not share one login among multiple people to circumvent seat limits. We enforce seat counts in the product; the owner counts toward your seat total.
8.4 AI Assist usage limits
On Assist and Team plans, only AI-initiated outbound messages count toward your monthly AI pool. Order utility templates sent through official WhatsApp Cloud for transactional updates are not counted as AI Assist in version 1 of this policy. Manual replies continue where channels allow.
When you reach the included pool on an active paid Assist or Team subscription, extra AI outbound depends on the store that collected payment. On the website (Paddle) and on Shopify, extra AI outbound may be billed as overage (USD $0.08 per extra AI send on Assist, USD $0.05 on Team) until extras equal the included pool. After that extra cap, or if we cannot collect, AI sends stop until the next period or you upgrade. On iPhone and iPad, extra AI uses App Store credit packs you buy in the app—credits do not expire, and there is no per-reply charge. Starter organizations do not receive overage—AI sends stop at the included cap.
Each plan also includes a knowledge-base file and size limit for FAQs and notes you upload so AI Assist can answer in your wording. File counts and storage limits are shown on the Billing page; we enforce them in the product the same way we enforce seats and channel slots.
Fees are non-refundable except where required by law or explicitly stated in writing. Festival volume or custom seat limits may be quoted separately.
9. Intellectual property
We own Waktaa software, branding, and documentation. You receive a limited, non-exclusive, non-transferable right to use the service during an active subscription or pilot. You retain rights to your shop content; you grant us a license to host and transmit it solely to operate the service.
10. Disclaimers
THE WEBSITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NEPALI LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT PLATFORMS WILL NOT RESTRICT YOUR ACCOUNTS.
Nothing in these Terms limits rights that cannot be limited under the laws of Nepal.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Toward Technology Private Limited AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE WEBSITE OR SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE SUBSCRIPTION FEES FOR YOUR THEN-ACTIVE PLAN FOR THE BILLING MONTH IN WHICH THE CLAIM AROSE. IF YOU PREPAY ANNUAL, THAT MONTHLY AMOUNT IS ONE-TWELFTH OF THE ANNUAL FEE FOR THAT PLAN. IF YOU ARE ON A FREE PLAN (INCLUDING STARTER) OR A TRIAL AND PAID NO FEE FOR THAT MONTH, THAT AMOUNT IS ZERO. EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY APPLICABLE LAW.
12. Indemnification and controller responsibility
You are the data controller for your buyers' and customers' personal information processed through Waktaa. You are solely responsible for the lawfulness of your messaging, consent, retention, and disclosures to your customers.
You will defend, indemnify, and hold harmless Toward Technology Private Limited, its directors, officers, employees, and contractors from and against any claim, investigation, fine, penalty, loss, or expense (including reasonable legal fees) arising out of or relating to: (a) your use of buyer or customer personal information; (b) your messages, campaigns, or templates; (c) your breach of these Terms, the AUP, or Meta, Shopify, or WhatsApp rules; (d) unauthorized disclosure, leak, or misuse of buyer data by you or your team, including shared logins or exports from the dashboard; or (e) failure to respond to a buyer's opt-out, access, correction, or deletion request where you are the controller.
This indemnity does not apply to the extent a claim is finally determined to result from our gross negligence or wilful misconduct in securing platform infrastructure we control.
If we receive a regulator or buyer request relating to data for which you are controller, we may forward it to you and reasonably cooperate at your expense where permitted by law.
13. Suspension and termination
You may stop using Waktaa at any time. We may suspend or terminate access for breach, risk to the platform, non-payment, or legal requirement. On termination, your right to use the service ends; we may delete or retain data per our Privacy Policy and legal obligations.
13.1 Data after your subscription ends or lapses
When a subscription ends or a payment lapses, sending and automation freeze immediately, but we do not delete your data right away. We keep your conversation history and media for a 60-day grace period so you can restore the account by renewing. After that we may permanently delete stored messages and media from our live systems 90 days after the lapse unless you renew or we complete an export request first. This is described in detail in the Privacy Policy Section 6.1. Request an export from privacy@waktaa.com before day 90; deletion, once performed, is irreversible. Billing records may be kept longer for accounting and legal purposes.
Upon a verified deletion request, we will delete or anonymize account-controlled data within the timelines described in the Privacy Policy Section 9, except data we must retain for security, billing, or legal compliance.
14. Marketing website use
You may browse this site for lawful, non-commercial evaluation of Waktaa. Do not scrape, reverse-engineer, or disrupt the site. Content may change without notice. Links to third-party sites (Meta policies, dashboard) are provided for convenience; we are not responsible for their content.
15. Governing law and disputes
These Terms are governed exclusively by the laws of Nepal, including the Electronic Transactions Act 2063 (2006), the Privacy Act 2075 (2018), and other applicable Nepali statutes and regulations, without regard to conflict-of-law principles of any other jurisdiction.
Any dispute arising out of or relating to these Terms, this website, or the Waktaa service shall be subject to the exclusive jurisdiction of the competent courts in Kathmandu, Nepal.
Before filing suit, the parties will attempt to resolve disputes in good faith for thirty (30) days after written notice to hello@waktaa.com or to Toward Technology Private Limited, Biratnagar, Koshi, Nepal.
You agree that records, notices, and acceptances provided electronically have legal effect to the extent permitted by the Electronic Transactions Act 2063.
16. Changes
We may update these Terms. We will post the revised version here with an updated date. Continued use after changes constitutes acceptance where permitted by law. Material service changes may require renewed acceptance in the dashboard.
